1. Agreement to These Terms

These Terms of Service ("Terms") govern your use of gelpstrategies.com and any related pages, forms, communications and services (together, the "Site" and "Services") provided by GELP Strategies, LLC ("GELP," "we," "us" or "our"). By using the Site or Services, you agree to these Terms. If you do not agree, please do not use the Site or Services.

2. Our Services

GELP provides marketing, sales operations and market development services to healthcare organizations and to companies that serve them. GELP is an authorized dealer of Referralogix, a third-party healthcare communication platform. The specific scope, pricing, terms and deliverables of any paid engagement are set out in a separate written agreement, proposal or order form. If anything in that agreement conflicts with these Terms, the agreement controls.

3. Eligibility and Accounts

You must be at least 18 years old and able to enter a binding agreement to use the Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms. You are responsible for keeping any login credentials secure and for all activity under your account.

4. No Patient Information

The Site's forms and general communication channels are not designed to receive protected health information. Please do not submit patient names, medical records or other protected health information through the Site, our forms, email or text messages. Where an engagement requires access to such information, it will be handled under a separate written agreement that meets applicable legal requirements.

5. No Medical, Legal or Financial Advice

Content on the Site is provided for general business and informational purposes. It is not medical, legal, tax or financial advice, and it does not create any professional relationship. Healthcare organizations remain solely responsible for their clinical decisions, patient care, billing practices and regulatory compliance.

6. Third-Party Platforms

Some Services rely on platforms operated by third parties, including Referralogix and other software providers. Your use of those platforms may be subject to their own terms and policies. GELP is not responsible for the availability, performance or practices of third-party platforms, and we do not guarantee uninterrupted access to them.

7. Results and Guarantees

Marketing and network growth depend on many factors outside our control, including market conditions, competition and the participation of third parties. Except where a specific guarantee is stated in writing on the Site or in your agreement, GELP does not guarantee any particular result, number of patients, connections, leads or revenue. Any example results shown on the Site reflect specific circumstances and are not a promise of similar outcomes. Sample reviews and examples marked as illustrative are for demonstration purposes only.

Where the Site or your agreement states a specific guarantee, that guarantee applies only under the conditions described with it, and your sole remedy if it is not met is the refund or credit stated in that guarantee.

8. Payments, Minimum Terms and Cancellation

Fees, billing schedules, minimum terms and cancellation rights for paid Services are set out in your agreement or order form. Unless your agreement says otherwise, fees are billed in advance, are non-refundable except as expressly stated and may be updated with notice before your next billing period.

9. Compliance and Compensation

GELP is compensated for software, marketing and market development services. Compensation is not payment for patient referrals and is not based on the volume or value of federally reimbursable healthcare business. Each party remains responsible for its own compliance with applicable healthcare laws, including federal and state anti-kickback and self-referral laws.

10. Text Messaging (SMS)

By providing your mobile number and opting in, you agree to receive text messages from GELP related to your inquiry, appointments, account and services. Message frequency varies. Message and data rates may apply. Reply STOP at any time to opt out, and reply HELP for help. Consent to receive text messages is not a condition of purchase. Carriers are not liable for delayed or undelivered messages. 11. Acceptable Use

You agree not to misuse the Site or Services, including by attempting to gain unauthorized access, interfering with their operation, submitting false or misleading information, sending unsolicited messages through our systems or using the Services for any unlawful purpose.

12. Intellectual Property

The Site and its content, including text, graphics, logos and design, are owned by GELP or its licensors and are protected by intellectual property laws. You may view and use the Site for your own business purposes, but you may not copy, modify, distribute or create derivative works from it without our written permission. Referralogix and other third-party names and marks belong to their respective owners.

13. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, GELP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY STATED IN A WRITTEN AGREEMENT.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GELP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. GELP'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE OR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID GELP FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE THREE MONTHS BEFORE THE CLAIM AROSE.

15. Indemnification

You agree to defend and indemnify GELP against claims, losses and expenses, including reasonable attorneys' fees, arising from your misuse of the Site or Services, your violation of these Terms or your violation of any law or the rights of a third party.

16. Termination

We may suspend or end your access to the Site or Services if you violate these Terms. Termination of paid Services is governed by your agreement. Sections that by their nature should survive termination will survive, including those on intellectual property, disclaimers, limitation of liability and indemnification.

17. Governing Law

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in Mississippi, and you consent to their jurisdiction.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date above. Your continued use of the Site or Services after changes take effect means you accept the updated Terms.
